PART III -- NARRATIVE
State below in reasonable detail the reasons why Form 10-K and Form 10-KSB, 20-F, 11-K, 10-Q and Form 10-QSB, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period.
Inpixon (the “Registrant”) has determined that it is not able to file its annual report on Form 10-K for the year ended December 31, 2016 (the “Form 10-K”) within the prescribed time period without unreasonable efforts or expense, due to delays in the completion of its consolidated financial statements and related portions of the Form 10-K. The Registrant requires additional time to complete the audit and presentation of its consolidated financial statements for the year ended December 31, 2016, along with the auditor’s analysis and review thereof, in light of its acquisition of Integrio Technologies, LLC (“Integrio”), which was completed in November 2016. The Registrant presently expects to file the Form 10-K within the extension period of 15 calendar days as provided under Rule 12b-25.

The Registrant expects that its revenues for the year ended December 31, 2016 will be approximately 20% lower than the comparable period in the prior year. This decrease is primarily associated with a decline in revenues generated by the storage and computing segment. In addition, the Registrant also expects its gross profit margin for the year ended December 31, 2016 to decrease by 14% from the comparable period in the prior year based on the sales mix during the year. Based on these declines, the loss from operations and net loss for the year ended December 31, 2016 are expected to increase approximately 60% from the comparable period in the prior year.
